Senior Counsel (Corporate & Transactions) | Legal Counsel | Remote/Hybrid

About the Role

FUJIFILM Holdings America Corporation is seeking a Senior Counsel to deliver strategic, practical legal guidance across corporate and transactional matters. Reporting to the Division General Counsel, Electronics, M&A & Assistant Secretary, you will support FUJIFILM Holding and its subsidiaries, with a strong focus on legal issues tied to the company’s software and information technology services businesses.

Responsibilities

• Manage the full legal lifecycle for transactions, from structuring through closing and post-closing tasks
• Advise on mergers, acquisitions, divestitures, and corporate reorganizations
• Support equity investments, corporate governance matters, dissolutions, and related corporate actions
• Handle joint ventures, strategic partnerships, and other general corporate agreements
• Ensure compliance with multinational filing and disclosure obligations
• Provide clear, business-aligned legal counsel to internal stakeholders throughout deal execution

Requirements

• Significant experience in corporate law and complex transactions
• Demonstrated ability to manage deal documentation and legal timelines end-to-end
• Strong understanding of corporate governance and transactional frameworks
• Experience navigating cross-border or multinational disclosure and filing requirements
• Excellent judgment, attention to detail, and ability to collaborate effectively with business teams
